1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the ValuScout AI Front Desk service ("Service") provided by ValuScout LLC ("ValuScout," "we," "us," or "our"), a Florida limited liability company based in Miami, Florida.

By engaging ValuScout to set up, configure, or use the Service — whether under a Pilot Agreement, Master Service Agreement, Order Form, or by otherwise using the Service — you ("Client," "you," or "your") agree to be bound by these Terms.

2. Description of Service

ValuScout provides an AI-powered bilingual (English/Spanish) voice receptionist service designed for independent insurance agencies. The Service answers inbound phone calls, captures caller information such as name, phone number, and reason for calling, logs that information for the Client's review, and may notify Client staff of new calls through optional add-on features described below.

The Service is an intake and routing tool only. It does not bind insurance coverage, quote premiums, or provide insurance advice of any kind. See Section 5 below.

3. SMS / Text Messaging Notifications

ValuScout offers an optional feature that sends automated SMS text message notifications to Client staff when the Service captures information from an inbound caller. This feature is available only to Clients who have opted in during onboarding.

Consent and opt-in

By requesting or agreeing to use this feature, Client and its designated staff members consent to receive automated SMS notifications from ValuScout related to inbound calls handled on their behalf. Consent is obtained verbally during onboarding, as part of the Client's service agreement with ValuScout.

Message frequency and carrier charges

Message frequency depends on inbound call volume. Standard message and data rates from the recipient's mobile carrier may apply. ValuScout is not responsible for carrier charges incurred by the recipient.

Opt-out

Recipients may reply STOP to any ValuScout SMS message at any time to stop receiving further notifications, or reply HELP for assistance. Recipients may also opt out by contacting us at info@valuscout.com or (305) 790-4856. Opting out of SMS notifications does not affect the Client's use of the core AI Front Desk service.

No third-party marketing use

Phone numbers collected for this feature are used solely to deliver operational call notifications. We do not sell or share these numbers with third parties for marketing purposes. See our Privacy Policy for further detail.

6. Fees and Payment

Fees for the Service are set out in the applicable Order Form or Pilot Agreement between Client and ValuScout. Optional add-on features, including SMS notifications, may carry separate fees as disclosed at the time of setup.

7. Limitation of Liability

To the fullest extent permitted by law, ValuScout's total liability arising out of or related to the Service shall not exceed the fees paid by Client to ValuScout in the three (3) months preceding the claim. ValuScout is not liable for indirect, incidental, or consequential damages, including lost business or missed calls, except where such limitation is prohibited by law.

8. Termination

Either party may terminate the Service as set out in the applicable Order Form or Pilot Agreement. Upon termination, ValuScout will disable Client's AI agent, phone number routing, and any associated SMS notification feature within a reasonable time.

9. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
